Seattle software company, AttachmateWRQ to buy NetIQ

Seattle-based AttachmateWRQ agreed to buy NetIQ, a maker of computer-management software, for $495 million to add programs to run Windows-based networks.

The offer of $12.20 a share is 14 percent more than San Jose, Calif.-based NetIQ’s closing price Wednesday on the Nasdaq Stock Market. The deal is expected to close in 90 days, the companies said Thursday in a statement.

Closely held AttachmateWRQ will get about $192 million in NetIQ cash, making the net price about $300 million, said Stifel, Nicolaus & Co. analyst Todd Weller. AttachmateWRQ’s software integrates desktop computers with mainframe systems.
