Montana Secretary of State McCulloch Reminds Delinquent Entities To File Annual Report

Secretary of State Linda McCulloch today reminded Corporations and Limited Liability Companies to fulfill their legal duty and file their Annual Report with the Secretary of State’s Office. She warned the final deadline is quickly approaching, but that there’s help available to those who need it.

"About 20% of the Corporations and Limited Liability Companies that do business in Montana have not yet filed their Annual Report. I encourage those folks to file as soon as possible, so they can continue to do business in Montana," said McCulloch.

"I encourage anyone who has questions about filing a report or needs help with the forms to contact our office immediately. I am confident my staff will resolve the issue in no time."

On September 1st, the Secretary of State’s Office will begin revocation of authority and dissolution proceedings against Corporations and Limited Liability Companies that have not filed their Annual Report. It’s standard practice, but something McCulloch says she would like to avoid.

"Montana businesses are unique and irreplaceable. We should be growing our business economy, not shrinking it. I encourage the folks who have not filed to do so online. It’s fast, easy and the transactions are completed almost immediately."

Foreign entities that do not file their Annual Report before November 1 will have their certificate of authority revoked. Domestic entities that do not file their Annual Report before December 1 will be involuntarily dissolved.
