Investment firm, MVC Capital buys stake in Dakota Growers

A New York investment firm that has previously concentrated on technology companies has agreed to buy a 6.9 percent stake in Dakota Growers Pasta Co., becoming the Carrington company’s largest single investor.

Dakota Growers announced Monday that the firm, MVC Capital of Purchase, N.Y., had bought $5 million in newly issued common stock at $5.50 a share. Dakota Growers’ stock, which is seldom traded, has been selling recently for about $4 a share.

Tim Dodd, Dakota Growers’ president, said the investment provides cash to develop the company’s new Dreamfields line of low-carbohydrate pasta, and to pursue other projects. He said the investment was discussed for about two months before the agreement was struck.

"We’ve got a lot of projects going on. It’s just giving us a new source of capital to pursue a lot of what we feel are opportunities," Dodd said Monday. The investment will not change Dakota Growers’ operations, Dodd said.

Dakota Growers listed 12.26 million shares of common stock outstanding in its most recent quarterly report, which was filed with the Securities and Exchange Commission in June. MVC Capital is buying 909,091 newly issued shares.

Until now, Dakota Growers’ single largest shareholder has been the company’s chairman, Lt. Gov. Jack Dalrymple, and his family, who control 3 percent of its voting stock. Dalrymple is one of the founders of Dakota Growers, and has served as chairman of its board of directors since 1991.

The transaction is the first major infusion of outside capital for Dakota Growers since its shareholders voted two years ago to adopt a corporate structure, which allows anyone to invest in the company. The pasta maker began business as a cooperative, with only farmers permitted to buy equity stock.

MVC Capital’s investment will get the company a seat on Dakota Growers’ board, which will grow from nine directors to 10. Michael Tokarz is the chairman of the investment firm.
